RIDER TO SERVICE AGREEMENT
between [HAULER LEGAL NAME] ("Contractor") and [YOUR COMPANY LEGAL NAME] ("Customer")

This rider forms part of the service agreement between Contractor and Customer dated [DATE]. Where this rider conflicts with the service agreement or any terms and conditions referred to in it, this rider controls.

1. Term. The initial term is [12/24/36] months from the service start date. After the initial term the agreement renews for successive terms of [12] months [OR: continues month to month].

2. Notice of non-renewal. Either party may end the agreement at the end of any term by written notice given at least 30 days before the term ends. Notice by email to the addresses below is effective when sent. Contractor will remind Customer in writing of each renewal not less than 60 and not more than 90 days before the term ends.

3. Rates. Rates are fixed for the first 12 months. After that, Contractor may increase rates once in any 12-month period, by not more than [X]% [OR: the change in (named index) over the prior 12 months], on at least 60 days' written notice to Customer's contact named below. A message on an invoice is not notice.

4. Other increases. Any other increase requires Customer's signed written consent. Payment of an invoice, continued service or failure to object is not consent. If Customer refuses an increase, Customer may end the agreement without charge on 30 days' written notice.

5. Fees. [The rates are all-inclusive; no fuel, environmental, regulatory, administrative or similar fees will be charged.] [OR: Fees are limited to those listed in Schedule 1, in the amounts or at the capped percentages shown, for the term.]

6. Early termination. If Customer ends the agreement before the end of a term for a reason other than Contractor's breach, the only charge is the lesser of three months' base charges (excluding fees and taxes) and the base charges for the months remaining. No charge applies during a renewal term, or if Customer closes or sells the service location.

7. Service failure. If Contractor misses two scheduled collections in any 90-day period, or fails to cure any other failure within five business days of written notice, Customer may end the agreement without charge.

8. Service changes. Changes to containers, frequency or rates take effect only when confirmed in writing by both parties. No change restarts or extends the term.

9. Scope. Contractor's exclusive right, if any, covers only the services and locations listed in the service details. Customer may contract other providers for any other service. Customer is not required to disclose other providers' offers or to allow Contractor to match them.

10. Extra charges. Extra charges are limited to those in Schedule 2, at the amounts shown, for the term. Overage and contamination charges require a dated photograph, provided with the invoice.

11. Representatives. Contractor will accept notices and requests from Customer's named representative: [NAME, COMPANY, EMAIL].

How to use it

Attach it to your request for proposal as the terms you want, and ask bidders to accept it or list exceptions. Then attach the agreed version to the service agreement you sign, and make sure the service agreement refers to it. Fill in the bracketed choices; delete the options you don't use.
